Agreement to Terms
These Terms of Use govern your access to and use of the UZ Marketing website (uzmarketing.com), including any online ordering systems, design tools, or phone transactions provided by us. By accessing or using our platform, creating an account, or placing
an order, you agree to be legally bound by these Terms of Use. Furthermore, by purchasing from UZ Marketing, you enter into a legally binding purchase agreement governed by these terms and our supplementary policies.
UZ Marketing reserves the right to modify this website and these Terms of Use at any time without prior notice. We recommend reviewing these terms each time you access our services.
Supplementary Policies & Additional Terms
To ensure full transparency across all our specialized commercial print operations, we maintain several distinct policies that supplement these core Terms of Use. By interacting with our platform, you acknowledge and agree to the guidelines set forth
in these accompanying documents:
Privacy Policy: Governs how we collect, protect, and process your personal information.
Terms of Sale: Outlines order processing, standard invoicing, and payment parameters.
Support Ticket Policy: Establishes the framework and timelines for handling technical issues and customer service.
Magnetic Signs Terms of Use: Governs product-specific deployment, care guidelines, and liabilities for vehicle/structural magnets.
Design Services Terms of Use: Outlines the creative briefs, layout alteration boundaries, and production rules for our graphic arts division.
Mailing Services Terms of Use: Governs technical compliance parameters, USPS regulations, and Every Door Direct Mail (EDDM) processing.
If there is a conflict between these Terms of Use and a product-specific policy, the more specific policy will apply.
Intellectual Property & Design Assets
Our design department produces high-end commercial assets under strict copyright protocols:
Client Artwork Ownership: You retain full responsibility for ensuring you own the copyrights, trademarks, or service marks for any text, logos, or files you upload. UZ Marketing cannot be
held liable for copyright violations resulting from client-provided materials.
UZ Marketing Source Files: Unless otherwise agreed in writing, UZ Marketing retains ownership of native source files, editable working files, internal design layers (including raw PSD, AI, and INDD files), unused concepts, templates, and design process materials created by our internal graphic department. Clients may use the final approved design deliverables provided by UZ Marketing for their own business, campaign, marketing, or promotional purposes.
Source File Buyouts: Native, editable design source files may be purchased under a separate digital transfer agreement for a standard fee of $95 per project file (subject to change).
Promotional Usage License: By printing with us, you grant UZ Marketing a worldwide, royalty-free license to display or reproduce your completed print projects and layouts in our marketing
materials, brochures, and online portfolios. (Sensitive or confidential materials may be exempted upon written request).
Local Ordinance & Signage Compliance
While UZ Marketing manufactures professional-grade commercial prints and structural signage, local municipalities, homeowner associations (HOAs), and state entities maintain distinct codes regarding placement:
Novelty Display Purposes: All products produced and sold by UZ Marketing are provided for general and novelty display purposes. UZ Marketing makes no claims, guarantees, or representations
regarding the local legal compliance, permitting requirements, or zoning registration of outdoor signs, flags, or banners.
Permit Procurement: It is the exclusive responsibility of the buyer to verify regional standards, rules, campaign laws, and restrictions governing the placement of signs with local authorities
prior to installation.
Prohibited Uses of the Platform
Users are strictly prohibited from exploiting our website infrastructure or submitting unlawful content. You agree not to:
Violate active copyrights, patents, or trade secrets without explicit owner consent.
Submit content that is defamatory, abusive, threatening, obscene, or harassing.
Upload digital viruses, Trojan horses, worms, or malicious software routines.
Impose an unreasonable load on our web servers, or utilize automated scrapers, web spiders, or avatars to harvest content without written authorization.
Attempt to decipher, decompile, disassemble, or reverse-engineer any of our design tools or site software.
Electronic & Mobile Communications
By using our website or placing an order, you agree that we may communicate with you electronically regarding your account and orders. UZ Marketing also utilizes automated text messaging for operational updates (such as order tracking and production routing).

Limitation of Liability & Indemnification
UZ Marketing operates under robust risk protections governed by the laws of the State of Texas:
Force Majeure: UZ Marketing is completely exempt from liability for production delays, delivery failures, or damages resulting from machinery breakdowns, material shortages, carrier disruptions,
governmental actions, embargoes, severe weather, or Acts of God.
Exclusion of Damages: UZ Marketing shall not be liable to any customer or third party for incidental, consequential, special, punitive, or economic financial losses (including lost profits)
arising out of contract or tort performance.
Legal Indemnification: The buyer agrees to indemnify, defend, and hold harmless UZ Marketing and its affiliates against all claims, actions, damages, and legal costs (including attorney's
fees) arising from allegations that the buyer’s printed material infringes on a third party’s intellectual property, privacy, or personal rights.
Recovery Costs: The client shall bear all legal expenses, court costs, and attorney fees incurred by UZ Marketing in any action brought to recover outstanding payments under this purchase
contract.
Technical Support & Account Termination
UZ Marketing reserves the right, without prior notice or liability, to terminate or suspend your account access for violations of these site terms, fraudulent activity, or abusive behavior. All core disclaimers, liabilities, indemnities, and payment obligations
survive the termination of this agreement.
